Terms & Conditions
Composite Trade Supplies retains the right to modify the terms, conditions, and notices governing the use of the Composite Trade Website, encompassing changes to charges associated with website usage.
General Conditions
1.1 All orders are accepted under the conditions outlined herein, forming an integral part of the sales contract. Any alterations to these conditions in the buyer’s documentation are void unless expressly accepted in writing by Composite Trade Supplies
1.2 The term “seller” refers to Composite Trade Supplies LTD, while the “buyer” designates the addressee of this document.
1.3 These terms supersede any conditions proposed by the buyer and apply exclusively to the goods covered by this contract, unless explicitly agreed upon in writing by both parties.
1.4 Contract variations require written agreement between the parties.
Quotation
2.1 An order following Composite Trade Supplies quotation is binding only upon acceptance by the seller. Cancellation or modification of an accepted order requires the seller’s consent.
2.2 Additions or alterations to orders are non-binding until confirmed in writing by the seller.
Prices
3.1 Quoted prices exclude UK Value Added Tax unless stated otherwise. Additional costs for packaging, loading, unloading, carriage, and insurance are indicated separately.
3.2 Price adjustments due to taxes or levies are borne by the buyer.
3.3 Incorrectly priced goods may be corrected within 14 days, with the option for the buyer to cancel or purchase at the correct price.
Delivery
4.1 Buyer’s obligations on delivery date specified or, if not stated, upon goods readiness. Failure to take delivery incurs associated costs, invoiced on the delivery date.
4.2 Delivery times are estimates; time is not of the essence unless expressly agreed.
4.3 Seller delivers as close as possible to the address, buyer provides unloading labour. Damage from inadequate access or unloading is buyer’s responsibility.
4.4 Seller not liable for direct or indirect loss due to delivery delays.
4.5 Partial deliveries permissible unless agreed otherwise in writing.
4.6 Cost of delivery is non-refundable.
4.7 Buyer ensures a responsible person signs for delivered goods at their expense.
4.8 Additional charges may apply for deliveries outside Mainland Scotland.
Returns
5.1 Buyer can return goods within 14 days of receipt under Consumer Rights Act 2015.
5.2 Notify return intention within 14 days, with damaged product images if applicable.
5.3 Composite Trade Supplies may arrange collection with a surcharge. Large collections have a minimum £275 surcharge.
5.4 Upon inspection, credit note issued for goods in resalable condition. Damaged goods may receive a pro-rata credit note.
5.5 Restocking fee of 15% applies to business buyers, in addition to handling fees.
5.6 Refund credited to the original payment method within 14 days of receiving resalable goods.
5.7 Refund of standard delivery charges for entire order return. Special delivery costs not refunded.
5.8 Free replacement for damaged or faulty items.
5.9 Non-advised or late returns result in a credit note, not a full refund.
5.10 For goods purchased with a credit card, a 3% deduction may apply to refunds.
Right to Cancel
6.1 Reimbursement within 14 days of cancellation.
Packaging, Consignment, and Carriage
7.1 Goods dispatched according to the seller’s chosen method to the buyer’s specified delivery address.
Transfer of Risk and Title
8.1 Risk transfers on delivery, title passes upon full payment.
8.2 Buyer can sell goods but proceeds held in trust for the seller until full payment.
Acceptance of Goods
9.1 Goods deemed accepted upon receipt at the delivery address.
9.2 No liability for damaged or lost goods unless notified within specified timeframes.
Specification
10.1 Specifications are approximate; goods subject to normal trade tolerances.
10.2 Seller may change specifications without notice.
10.3 Literature for guidance only; not binding.
Order Specifications
11.1 Buyer ensures necessary approvals before manufacturing.
11.2 Buyer responsible for ensuring correct calculations and specifications.
Quality
12.1 Goods on delivery must conform to specification and be free from material defects.
12.2 Products warranted per website terms.
12.3 No liability for defects due to buyer’s actions or wear and tear.
Payment
13.1 Payment terms vary based on order nature. Clear funds required for payment.
13.2 Credit account payment by last day of the month following the invoice date.
13.3 Partial delivery payment as invoiced.
13.4 Late payment incurs interest and other remedies as specified.
13.5 No set-off against monies owed unless agreed.
Ownership of Goods
14.1 Goods remain seller’s property until full payment.
14.2 Buyer can sell goods, with proceeds held in trust until payment.
14.3 Seller can repossess goods in case of default.
Intellectual Property
15.1 Buyer indemnifies seller against infringement arising from buyer’s specifications.
Privacy Policy
16.1 Data collected adheres to the Privacy Policy.
16.2 No storage of customer credit card details.
Determination of Contract
17.1 Seller may terminate or suspend the contract in case of buyer default.
Notices
18.1 Notices sent by first-class post to specified addresses.
Limitation of Liability
19.1 Seller’s liability exclusion subject to exceptions.
19.2 Seller’s total liability limited to the order value.
Force Majeure
20.1 Event of Force Majeure defined; conditions subject to Scottish Law and jurisdiction.
Law
21.1 Conditions governed by Scottish Law, with the buyer submitting to the exclusive jurisdiction of the High Court of Justice of Scotland
